Directors of the corporation have a fiduciary relationship toward the corporation and are required to use the utmost good faith in the exercise of their power in the interests of the corporation. A Director must perform his/her duties in a manner he/she reasonably believes to be in the best interests of the corporation, with such care as an ordinarily prudent person in a like position would use under similar circumstances. A Director is a representative of the corporation, not of the body that elected him/her. You represent all Florida REALTORS®’ members, not only those in your local association or real estate company. A Director has a duty to come forward and identify any conflict of interest and also refrain from voting and discussion in those instances where he/she stands to financially benefit directly or indirectly. Travel Reimbursement Reimbursement for travel expenditures from RASM shall be limited to one night’s lodging, travel, meals in a 24-hour period (total not to exceed $130), tolls, tips, and self-parking fee. Reimbursement is contingent on attendance at both the FR District 13 Meeting and the FR Board of Directors Meeting. Any additional expenses incurred will be the choice of the individual and not reimbursable.
